小球圈会员自动续费服务协议 Spherely Auto-Renewal Service Agreement

Thank you for applying to use the automatic renewal and delegated billing service provided by Spherely (the “Service”). Please read and agree to the Spherely Auto-Renewal Service Agreement (the “Agreement”) before enabling the Service. If you do not agree to all or part of this Agreement, please do not accept the Service by checking a box, clicking, or through any other form of confirmation.

1. Service Description

• The auto-renewal service applies to Spherely membership services that you have already subscribed to;
• The subscription cycle may be monthly or yearly, depending on the plan you selected on the purchase page;
• Before or after the current subscription period expires, the system may initiate a charge for the next billing cycle according to App Store or payment channel rules and extend your membership validity accordingly;
• The actual charge time, currency, amount, and billing record are subject to Apple App Store or the relevant payment channel.

2. Your Authorization

By enabling this Service, you authorize Spherely, in accordance with the applicable payment channel rules, to automatically deduct the fee for the next billing cycle from the payment account bound to your membership account before or after the current subscription period expires, without requiring separate confirmation for each charge.

You shall ensure that the payment account used for auto-renewal remains valid and has sufficient balance or credit limit. You are responsible for the consequences of renewal failure, failed charges, or service interruption caused by account abnormalities, insufficient balance, payment restrictions, or similar issues.

3. Cancellation

You may turn off automatic renewal at any time through the subscription management of your Apple account. To avoid entering the next billing cycle, please cancel at least 24 hours before the end of the current subscription period. If you fail to do so within the above time limit, the system may already have initiated the charge for the next cycle.

A common cancellation path is: App Store - Account - Subscriptions - Spherely - Cancel Subscription. The exact path is subject to the Apple system version and App Store interface.

4. Validity and Termination

This Service takes effect once successfully enabled and continues until you actively turn off automatic renewal, the membership service ends, or the service is terminated due to legal requirements, platform rules, or service adjustments.

After you turn off automatic renewal, the rights for the current paid subscription period will generally remain available until the end of that period. Unless otherwise required by law, fees already incurred are non-refundable.

5. Limitation of Liability

If delays, failures, or abnormalities occur in charging, renewal, or service status due to payment channel failures, network issues, system maintenance, force majeure, or similar reasons, Spherely will assist in investigating and reasonably handling the matter to the extent permitted by law, but shall not be liable for circumstances beyond Spherely's reasonable control.

6. Dispute Resolution

This Agreement shall be governed by the laws of the People's Republic of China. In the event of any dispute arising from this Service, the parties shall first seek an amicable resolution. If such resolution fails, either party may bring legal proceedings before a court with competent jurisdiction.
